PromptWise's Affiliate Program Terms of Service

Welcome to the PromptWise Affiliate Program!

These Terms of Service (the "Agreement") govern your participation in the PromptWise affiliate program (the "Program") and establish the terms and conditions of the Program. In these terms, "PromptWise," "we," "us," or "our" refers to ZeroTen Media Inc, a Delaware corporation that operates the PromptWise platform. By participating in the Program, you agree to abide by these terms.

1. Eligibility and affiliate account obligations

To take part in the Program, you must be at least 18 years old and legally able to enter into this Agreement.

You must give accurate account, tax, and payment information, and keep it up to date. You are responsible for everything that happens under your account and for following these terms and all laws that apply to you.

Unless we agree otherwise, you may hold only one affiliate account, and you may not sell or transfer your account to anyone else.

We may approve or decline any application, and we may suspend or terminate an account for any violation of these terms. Earnings tied to a violation may be withheld or forfeited to the extent allowed by law.

2. Attribution and tracking

We track referrals through your unique affiliate link. Attribution is link-based only. There are no referral or discount codes.

A sale is credited to you on a last-click basis: if a customer clicks affiliate links from more than one affiliate, the most recent affiliate link clicked within the attribution window before the customer's first payment gets the credit.

The attribution window is 30 days from the last click.

We use a third-party tracking provider, Tolt, to record referrals. Tracking depends on cookies and on the customer completing signup and payment. We cannot credit a sale that our tracking does not record, for example where a customer blocks cookies or uses a different device or browser.

This section describes our current setup, which we may change with notice.

3. Commissions

You earn a commission on qualifying sales made through your affiliate link.

A qualifying sale is a genuinely new PromptWise customer who starts a paid subscription through your affiliate link. Commission is earned on that customer's subscription payments and continues for as long as they remain an active paying subscriber.

The commission rate is the rate shown on your affiliate dashboard and on the affiliate landing page, currently 15%. We may change the rate at any time with notice. The rate in effect at the time of the sale applies.

Commission is earned only after the customer's payment is successfully collected and has cleared the validation period in Section 4. Refunded, reversed, disputed, charged-back, fraudulent, self-referred, or otherwise ineligible transactions do not earn commission. If we have already credited commission for a transaction that is later invalidated, we may reverse it or offset it against future earnings.

Any bonuses offered under a separate promotion, such as the PromptWise Games, are governed by that promotion's own rules and are separate from and additional to the commission described here.

4. Payment requirements

Approved commissions are paid on the following basis:

Payout timing: commissions are paid through Tolt on a NET-30 basis. Commissions you earn during a calendar month are held until 30 days after the end of that month, at which point approved commissions are paid out. For example, commissions earned in September are paid out at the end of October. This hold period allows refunds, chargebacks, and fraud to be accounted for before payment.

Minimum payout: you must have at least $100 in approved earnings before a payment is issued. Approved balances below that amount roll over to the next period.

Payment method: payouts are handled through Tolt. You can choose to be paid by PayPal or Wise in your affiliate portal.

Before we can pay you, you must complete all requested onboarding, which may include identity verification, tax documentation (US persons generally provide Form W-9; non-US persons generally provide Form W-8BEN, and non-US entities Form W-8BEN-E or another applicable form), sanctions screening, and payment setup. We may withhold amounts required by law.

If a later refund, chargeback, reversal, or audit invalidates a transaction we already paid you for, we may offset the amount against future earnings or ask you to repay it.

5. Marketing standards and required disclosures

You may promote PromptWise through your own content and channels, subject to these standards.

Only make truthful, accurate statements about PromptWise. Do not make false, misleading, or exaggerated claims about our features, performance, pricing, or the results or earnings a customer or affiliate can expect.

You must clearly disclose your commission relationship whenever you promote PromptWise. As a baseline, you must meet the U.S. Federal Trade Commission (FTC) disclosure standard, wherever you are based. The disclosure must be clear, easy to see, and placed with the recommendation itself, before any "more" cut-off, and not buried in a group of hashtags or links. If your affiliate link sits in your profile or bio, you must still place the disclosure in the post or content that points people to that link. A disclosure only in your bio, only on your profile, or only through a platform's built-in label is not enough. For video, include the disclosure in the video itself; for live streams, repeat it periodically. An acceptable disclosure is: "I may earn a commission if you purchase through this link." If the law where you live, or where your audience is, requires anything stricter, you must follow that too.

Do not use spam or unlawful email, SMS, messaging, or calling to promote your link.

The advertising and impersonation rules in the sections below also form part of these marketing standards.

6. Self-referrals are not allowed

You are not permitted to sign up for PromptWise through your own affiliate link. If we detect any self-referrals, your account will be permanently banned and any commission earned will be forfeited.

7. Abuse or attempting to mislead

We do not tolerate attempts to abuse our affiliate system. Any attempt to mislead, manipulate or defraud us or potential customers will result in your account being permanently banned. This includes posting fake discounts to coupon-sharing websites or engaging in any other activity that violates our policies.

8. No ads that claim to be, or imply you are, PromptWise

You are allowed to run search engine ads, Facebook ads, and other paid advertising to promote your affiliate link. However, you may not run any ads that claim to be PromptWise, imply that you are PromptWise, or otherwise cause customers to believe your advertising originates from us. This includes bidding on branded terms such as "PromptWise" or our domain names in a way that suggests your ads are official, and using our name, branding, or domains in ad copy or display URLs in a manner that could mislead customers. We reserve the right to terminate your account if we detect any such activity.

9. No pretending to be acting on behalf of us (i.e. as an employee)

You are not allowed to impersonate PromptWise or pretend to be acting on our behalf. This includes posing as an employee or representative of our company.

10. Other prohibited conduct

In addition to the rules above, you must not:

  • create or use false, duplicate, or controlled customer accounts;
  • use fraudulent or unauthorized payment methods;
  • use bots, automated purchases, fake traffic, or fabricated engagement;
  • use cookie stuffing, forced clicks, hidden redirects, or any other form of attribution manipulation;
  • offer unauthorized discounts, rebates, cashback, or other purchase incentives in connection with your affiliate link;
  • make false or misleading claims about PromptWise, or about the income or results a customer or affiliate can expect; or
  • bid on PromptWise trademarks or domains without permission (see Section 8).

We may disqualify activity, reverse commissions, or suspend or terminate accounts for any such conduct, based on a reasonable review of the available evidence.

11. Taxes

You are responsible for your own taxes on any commissions you earn, including income tax, VAT or GST, and any social contributions or registrations that apply to you. Commissions are paid without tax withheld unless the law requires us to withhold, in which case we may withhold and report as required. We may also report payments to tax authorities where the law requires it.

12. Data and privacy

To operate the Program, we and our providers process affiliate and referred-customer data for attribution, tracking, payment, fraud prevention, tax reporting, compliance, and general operation of the Program. This includes our tracking provider (Tolt) and our payment providers. We handle personal data in line with our Privacy Policy, available at https://promptwise.com/privacy/, and applicable data-protection law.

13. Geographic eligibility

Participation in the Program is available only where we can lawfully operate it and pay you. We reserve the right to reject, restrict, or remove affiliates who are based in, or who direct traffic from, certain countries or regions. This includes any location subject to sanctions, embargoes, export controls, or other legal or payment restrictions, as well as any country or region we choose to exclude at our discretion. We may change the countries or regions we accept at any time. If your location becomes ineligible, we may suspend or terminate your participation and withhold or forfeit commissions to the extent permitted by applicable law.

14. Decisions, records, and governing law

Our decisions on eligibility, attribution, sales validation, fraud, and the interpretation of these terms are final to the extent permitted by law, provided they are made reasonably and in good faith. Where our records and any third-party records disagree, our server and payment records control.

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. To the extent permitted by law, any disputes will be brought exclusively in the state or federal courts located in New Castle County, Delaware. Any rights you have under law that cannot be waived remain unaffected.

15. Changes to the Terms of Service

We reserve the right to change the Terms of Service for our affiliate program at any time. We will provide notice of any changes to the Terms of Service on our website, and it is your responsibility to review the changes and comply with the updated terms.

By participating in our affiliate program, you agree to comply with these terms and conditions. We reserve the right to terminate your participation in the Program at any time and for any reason if you violate these terms.
